• You must not place orders with no intention of completing the transaction or picking up your order.

• You must not engage in harassment, threatening behavior, or abusive language directed at Wing Snob staff, representatives, or other customers;

Wing Snob reserves the right to investigate any suspected violations of these Terms and may report any activity that it suspects may constitute a criminal offense to law enforcement authorities, regulators, or other relevant third parties.

5. Ordering, Pricing, and Payment Terms

5.1 Order Placement

When you place an order through our Site, you are making an offer to purchase food products and/or services at the prices listed. All orders are subject to acceptance and availability. Wing Snob reserves the right to refuse or cancel any order for any reason, including but not limited to errors in product or pricing information, suspected fraud, or unavailability of items.

You will receive an order confirmation via email or SMS once your order has been accepted. This confirmation does not guarantee that the order will be fulfilled; in the rare event that an item is unavailable after your order is accepted, we will contact you to offer a suitable alternative or a refund.

5.2 Pricing

All prices listed on the Site are in U.S. Dollars (USD) and are subject to change without notice. Applicable taxes, delivery fees, and service charges will be disclosed during the checkout process prior to completing your order. Wing Snob strives to ensure that all prices displayed on the Site are accurate; however, in the event of a pricing error, we reserve the right to cancel orders affected by such errors and will notify you promptly.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. Refunds, when approved, will be processed to your original payment method within 5–10 business days. We reserve the right to offer store credit or replacement items in lieu of a cash refund at our discretion.

6. Allergen and Dietary Information

Wing Snob takes food allergens and dietary restrictions seriously. However, we must advise you that our products are prepared in facilities where common allergens — including but not limited to peanuts, tree nuts, dairy, eggs, wheat/gluten, soy, fish, and shellfish — may be present. We cannot guarantee that any menu item is completely free from allergens due to the risk of cross-contamination.

Wing Snob shall not be liable for any allergic reaction, dietary harm, or health consequences resulting from the consumption of our food products where you have not disclosed your allergy or dietary restriction to us prior to ordering.

The Site and all of its contents, features, and functionality — including but not limited to all text, graphics, logos, images, photographs, video and audio clips, data compilations, digital downloads, and software — are the exclusive property of Wing Snob or its content suppliers and are protected by United States and international intellectual property laws, including copyright, trademark, trade dress, and patent laws.

The Wing Snob name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks or trade dress of Wing Snob or its affiliates. You must not use such marks without the prior written permission of Wing Snob. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for your personal, non-commercial use only. This license does not include the right to:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICES OR CONSUMPTION OF OUR FOOD PRODUCTS (EXCEPT WHERE CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT);
• UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
• BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY;
• ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SITE.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN ITS ENTIRETY. IN SUCH JURISDICTIONS, WING SNOB'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site or Services, including but not limited to, your online ordering activities;
• Your violation of any third party's rights, including intellectual property rights or privacy rights;
• Your violation of any applicable law, rule, or regulation;

Wing Snob reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. Wing Snob will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

12. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which Wing Snob operates, without regard to its conflict of law provisions.

These Terms are also subject to applicable federal laws of the United States, including the Federal Trade Commission Act (FTC Act), which prohibits unfair or deceptive acts or practices in commerce. Where Wing Snob serves customers located in California, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) may also apply to the processing of personal data.

You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Services shall be instituted exclusively in the federal or state courts of competent jurisdiction in the United States. You hereby consent and submit to the personal jurisdiction of such courts for the purpose of litigating any such action or proceeding.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting Wing Snob at [email protected] with a written description of the dispute. We will attempt to resolve any such disputes within thirty (30) days of receiving your written notice. You agree to engage in good-faith negotiations during this informal resolution period.

13.2 Binding Arbitration

If informal resolution is unsuccessful, you and Wing Snob agree that any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or the use of the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), rather than in a court of law, except that either party may bring claims in small claims court if the claims qualify.

The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement.

13.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Wing Snob agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

14. Term and Termination

These Terms of Service are effective as of the date you first access or use the Site or Services and shall remain in full force and effect unless and until terminated by either you or Wing Snob as described herein.

You may terminate these Terms at any time by ceasing all use of the Site and Services and, if applicable, closing your account by contacting us at [email protected].
